1. Acceptance of Terms

By accessing or using the website located at huddlewebworks.com (the "Site"), submitting any form, scheduling any call, purchasing any service, or engaging with any tool, resource, or communication channel operated by Huddle Web Works, An OV Elevate LLC Company ("HWW," "we," "us," or "our"), you ("User," "Client," or "you") agree to be legally bound by these Terms of Use ("Terms").

If you do not agree to all of these Terms, you must immediately cease use of this Site and all associated services. Your continued use constitutes ongoing acceptance of any updates to these Terms.

These Terms constitute a binding legal agreement between you and HWW. If you are accessing this Site on behalf of a business entity, you represent that you have full authority to bind that entity to these Terms.

2. About Huddle Web Works

Huddle Web Works is a roofing-only digital marketing agency operating under OV Elevate LLC, a California limited liability company. HWW provides digital marketing services exclusively to roofing contractors, including but not limited to: Search Engine Optimization (SEO), Generative Engine Optimization (GEO), Local SEO, Google Business Profile (GBP) Management, Pay-Per-Click (PPC) Advertising, Local Service Ads (LSA) Management, AI-Powered Lead Nurturing (HuddleFlow AI™), and Website Design.

HWW operates on an exclusive one-client-per-service-area model. Acceptance of any service agreement from HWW implies acknowledgment that HWW does not simultaneously represent competing roofing contractors within the same defined service territory.

3. Services, Scope & Limitations

3.1 No Guarantee of Results. HWW provides digital marketing services on a best-efforts basis. We do not guarantee specific rankings, lead volumes, call volumes, booked estimates, or revenue outcomes. Search engine algorithms, advertising platform policies, and market conditions are outside our control and subject to change at any time without notice. Past client results are not a guarantee of future performance.

3.2 Platform Dependency. Certain services rely on third-party platforms including but not limited to Google LLC, Meta Platforms Inc., GoHighLevel (HighLevel Inc.), and other software-as-a-service providers. HWW is not liable for outages, policy changes, account suspensions, or feature deprecations imposed by these third parties.

3.3 HuddleFlow AI™. HWW's AI-powered lead nurturing product (HuddleFlow AI™) operates via text message and email automation using the GoHighLevel platform. HuddleFlow AI™ does not include voice AI functionality. By engaging HuddleFlow AI™ services, Client acknowledges that automated messages will be sent to leads on their behalf and that Client is responsible for ensuring their lead list and opt-in practices comply with applicable law, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.

3.4 Google Verified Badge. References to Google's screening program for local service providers refer to the "Google Verified" designation. HWW makes no representations regarding the current status or availability of any Google badge program, as such programs are subject to change by Google at any time.

3.5 Search-to-Booked™ System. The Search-to-Booked™ System is HWW's proprietary four-stage digital marketing framework. SEO and GEO services are only available as components of the full Search-to-Booked™ System and are not offered as standalone services.

4. Intellectual Property

4.1 HWW Ownership. All content on this Site — including but not limited to text, graphics, logos, page designs, system frameworks, methodology names (Search-to-Booked™, HuddleFlow AI™), video scripts, scorecard tools, marketing copy, and branding elements — is the exclusive intellectual property of OV Elevate LLC / Huddle Web Works and is protected by applicable copyright, trademark, and trade secret laws.

4.2 No Unauthorized Use. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any material from this Site without prior written consent from HWW. This prohibition includes scraping, framing, or mirroring any portion of the Site.

4.3 Client-Owned Assets. Upon full payment of all fees owed, any website, graphics, or content created specifically for a Client under a service agreement becomes the property of that Client, except for HWW's proprietary systems, templates, and frameworks which remain the sole property of OV Elevate LLC.

4.4 Portfolio Rights. HWW reserves the right to display work completed for Clients in its portfolio, case studies, and marketing materials unless a written confidentiality agreement expressly prohibits such use.

5. User Conduct & Prohibited Uses

By using this Site, you agree that you will not:

Use the Site for any unlawful purpose or in violation of any applicable local, state, federal, or international law or regulation.
Transmit any malicious code, viruses, worms, spyware, or any software designed to disrupt, damage, or gain unauthorized access to any system or data.
Attempt to probe, scan, or test the vulnerability of the Site or any associated system or network.
Harvest or collect email addresses, contact information, or other personal data from the Site without express written consent.
Impersonate HWW, its founder, employees, or any other person or entity.
Submit false, misleading, or fraudulent information through any form or assessment tool on this Site.
Use any automated tool (bot, scraper, crawler) to access or index the Site without HWW's prior written permission.

Violation of these prohibitions may result in immediate termination of any service agreement and may subject you to civil and/or criminal liability.

6. Assessments, Forms & Scorecard Tools

This Site offers a complimentary Marketing Assessment and a Search-to-Booked™ Scorecard tool. Completion of either tool does not create a contractual obligation on the part of HWW to provide services. Submission of an assessment or scorecard constitutes your consent to be contacted by HWW via email, text message, and/or phone regarding your results and potential services.

HWW reserves the right to decline to work with any prospective client for any reason, including but not limited to service area conflicts, scope misalignment, or business fit determinations.

7. Disclaimer of Warranties

THIS SITE AND ALL CONTENT, TOOLS, AND SERVICES PROVIDED THROUGH IT ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HWW EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE;
WARRANTIES OF TITLE OR NON-INFRINGEMENT;
WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS;
WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE SITE.

No advice, result, or information — whether oral or written — obtained from HWW or through this Site shall create any warranty not expressly stated in these Terms.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HWW, OV ELEVATE LLC, ITS FOUNDER, OFFICERS, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
LOSS OF PROFITS, REVENUE, LEADS, BOOKED ESTIMATES, OR BUSINESS OPPORTUNITIES;
LOSS OF DATA OR DAMAGE TO SYSTEMS;
DAMAGES ARISING FROM THIRD-PARTY PLATFORM OUTAGES, POLICY CHANGES, OR ACCOUNT ACTIONS.

HWW's total cumulative liability to any Client or User arising out of or related to these Terms or any service agreement shall not exceed the total fees paid by that Client to HWW in the three (3) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless HWW, OV Elevate LLC, and its founder, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or inability to use the Site or any HWW service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; (d) any content you submit or transmit through HWW systems; or (e) your violation of any applicable law or regulation, including TCPA or CAN-SPAM in connection with automated messaging services.

10. Privacy & Data Collection

HWW collects personal information submitted through forms, assessments, and scorecard tools on this Site. This data is used solely to contact prospective clients, deliver contracted services, and improve HWW's marketing systems. HWW does not sell personal data to third parties.

Data submitted through this Site is processed and stored via GoHighLevel (HighLevel Inc.), a third-party CRM platform. By submitting any form on this Site, you acknowledge and consent to this processing. HWW's full data practices are detailed in our Privacy Policy.

11. Third-Party Links & Resources

This Site may contain links to third-party websites, tools, or resources (including Amazon for book purchases). These links are provided for convenience only. HWW has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party sites. HWW does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites.

12. Modifications to Terms & Services

HWW reserves the right to modify these Terms at any time. Updated Terms will be posted to this page with a revised "Last Updated" date. Your continued use of the Site following any posted modification constitutes your acceptance of the revised Terms. It is your responsibility to review this page periodically.

HWW also reserves the right to modify, suspend, or discontinue any service, pricing, or offering at any time without liability to you or any third party. Active service agreements are governed by their own written contract terms, which take precedence over these general Terms in the event of a conflict.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or HWW's services shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved by binding arbitration in Sacramento County, California, under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Termination

HWW reserves the right to terminate or suspend your access to this Site or any service at any time, with or without cause, and with or without notice. Upon termination, all provisions of these Terms which by their nature should survive termination — including ownership provisions, warranty disclaimers, indemnification, and limitation of liability — shall survive.

15. Severability & Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect.

These Terms, together with HWW's Privacy Policy and any executed service agreement, constitute the entire agreement between you and HWW with respect to this Site and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
